Welcome to Zajl & Partners Consultancy. These Terms and Conditions (“Terms”) govern your use of our website and engagement with our advisory services, including Company Formation, Investment, Residency Visa, Training, Tourism, and Migration (“Services”). By accessing or using our website and Services, you agree to be bound by these Terms.
1. Agreement to Terms
By visiting www.zajlandpartners.com (“Website”) or engaging our Services, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree, please do not use our Website or Services.
2. Definitions
- “Client” means you or any entity engaging Zajl & Partners for Services.
- “Consultancy” or “We” refers to Zajl & Partners Consultancy.
- “Services” means any advisory, facilitation, processing, or support services we provide, including but not limited to company formation, investment attraction, visa assistance, vocational training, tourism planning, and immigration guidance.
3. Scope of Services
- Company Formation: Advice, document preparation, registration assistance.
- Investment: Identification of opportunities, due diligence support, structuring guidance.
- Residency Visa: Application support, document liaison, renewal assistance.
- Training: Vocational and professional courses; scheduling and certification support.
- Tourism: Itinerary planning, bookings, local guidance.
- Migration: Immigration counseling, eligibility assessment, application coordination.
Details of each engagement (deliverables, timelines, fees) will be set out in a separate Engagement Letter or Proposal.
4. Fees and Payment
- Quotation: Fees and costs for Services are quoted in writing (email or Proposal).
- Payment Terms: Unless otherwise agreed, a non-refundable deposit of 50% is due upon engagement, with the balance due on completion of Services or according to the payment schedule in the Proposal.
- Additional Expenses: Government filing fees, translation costs, travel expenses, courier charges, and third-party fees are payable by the Client.
- Late Payment: Unpaid invoices past due by more than 14 days may accrue interest at 1.5% per month and may result in suspension of Services.
5. Client Obligations
To enable us to perform the Services, you agree to:
- Provide accurate, complete, and timely information and documentation as requested.
- Respond promptly to communications and requests.
- Comply with all applicable laws and regulations.
- Notify us immediately of any changes in circumstances affecting your engagement.
6. Confidentiality
Both parties shall keep confidential all non-public information disclosed in connection with the Services. We will not share your information with third parties except: (a) as required by law or regulatory authorities; or (b) with your prior consent.
7. Intellectual Property
- All materials, templates, methodologies, and content provided by Zajl & Partners remain our exclusive property.
- Upon full payment, you are granted a non-exclusive, non-transferable license to use deliverables for the agreed purpose.
- You shall not reproduce, modify, or distribute our materials without our written permission.
8. Limitation of Liability
- To the maximum extent permitted by law, Zajl & Partners’ total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total fees paid by you for the Services giving rise to the claim.
- Under no circumstances shall we be liable for any indirect, incidental, consequential, or punitive damages.
9. Disclaimers
- We do not guarantee specific outcomes (e.g., visa approval, investment returns).
- We provide advice based on information available at the time; laws and regulations may change.
- You remain responsible for final decisions and compliance with all legal requirements.
10. Termination
- Either party may terminate an engagement with 7 days’ written notice.
- On termination, all outstanding fees and reimbursable expenses become immediately due.
- We reserve the right to suspend or terminate Services if you breach these Terms or fail to pay fees.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of [Jurisdiction, e.g., the Emirate of Dubai and UAE Federal Law]. Any dispute shall first be referred to mediation. If unresolved, disputes shall be submitted to the competent courts of that jurisdiction.
12. Changes to Terms
We may update these Terms from time to time. The latest version will be posted on our Website with the “Last updated” date. Continued use after changes constitutes acceptance.
